SCOPE OF SERVICES It is hereby agreed to and understood that HLoyal Public Relations, in exchange for remuneration as set forth in this Agreement, HLoyal Public Relations will provide the following services for the Client. 

● PR Strategizing 

● Press Releases 

● Executive Visibility 

● Issue & Crisis Management 

● Stakeholder Communications 

● Social Media 

● Networking 

● Marketing 

● Publicity 

● Image Consulting Hloyal will be given administrative access to all social media pages that already exist and will give full admin / access to pages that Hloyal will create for "client". Services will begin upon signing of contract and submission of the first payment.

PROFESSIONAL EXPERIENCE HLoyal represents and warrants to Client that it has the experience and ability to perform the services required by this Agreement; that it will perform said services in a professional, competent and timely manner; that it has power to enter into and perform this Agreement; and that its performance of this Agreement shall not infringe upon or violate the rights of any third party or violate any federal, state or municipal laws. However, client will not determine or exercise control as to general procedures or formats necessary to have these services meet Client satisfaction. It is hereby agreed and understood that the laws of Texas State shall govern this agreement. 


TERMS, FEES & PAYMENTS This agreement will be for 6-months Hloyal will be payeed 250.00 deposit upfront and a monthly retainer for 175.00.Hloyal will also collect 10% commission of any sponsors / endorsements and or gigs that Hloyal brings to the "client". Services will begin upon signing of contract and submission of the first payment. The date of the first payment will be the due date each month following. Payments not received on due date will be allowed a 3 day grace period or Hloyal has the right to discontinue services until payment is satisfied. Invoices will be sent to Client, no later than 2 business days prior to due date. 

CONFIDENTIALITY CLAUSE The terms and conditions of this Agreement are absolutely confidential between the parties; including the third party partner shall not be disclosed to anyone else, except as shall be necessary to effectuate its terms. Any disclosure in violation of this section shall be deemed a material breach of this Agreement. Hloyal agrees not to share any information unknowingly to the client that will not be beneficial to client’s career. 

THIRD PARTY CONTRACTS AND AGREEMENTS Client shall pay any and all charges imposed by contractors to execute the completion of services. These agreements and contractors may include, but are not limited to media, security, photographers, videographers, etc. 

ACTS OF GOD This agreement of HLoyal to perform shall be excused by acts of God, or any other legitimate condition beyond HLoyal such as fire, flood, earthquake, any natural calamity, death or severe illness. If such circumstances arise, all reasonable efforts will be made 2 

by HLoyal to find comparable replacement at greed upon fees. In the event that HLoyal is unable to procure a replacement, Client shall receive a full refund of all fees paid to HLoyal for representation. Client agrees that in all circumstances, HLoyal liability shall be exclusively limited to refunding the fees paid and that HLoyal shall not be liable for indirect or consequential damages arising from any breach of contract. 


CHANGES/CANCELLATIONS Any changes made to this agreement must be executed with mutual written consent by both the Client and HLoyal. The client may cancel this agreement, in writing, for any reason. If the event is cancelled, refunds are limited to unearned fees, funds in excess of unused or non-refundable fees and out-of-pocket expenses. 

RELEASE OF LIABILITY Client agrees to defend, indemnify, assume liability for and hold HLoyal harmless from any and all claims, demands, damages, losses, suits, proceedings, penalties, expenses or other liabilities including attorney fees and court costs, arising out of or resulting from performance of this contract, regardless of the basis; except for gross negligence on the art of HLoyal. 

TERM/TERMINATION CLAUSE This agreement will terminate automatically upon completion of the services required by the letter of agreement. 

EXECUTION OF CONTRACT Client may not transfer this contract to another party without prior written consent of HLoyal. 

The agreement is not binding until received and signed by HLoyal and the Client. Any changes must be written and signed by both the Client and HLoyal. Oral agreements are not binding. The latest contract superseded all previous contracts between Client and HLoyal for the event listed above. If any clause in this Agreement is found to be unenforceable by court of law, the rest of this Agreement shall remain in full force and effect. 

This Agreement may be executed in multiple counterparts, and each such executed counterpart shall be deemed an original, but all of which together shall constitute a single agreement. Facsimile signatures to this Agreement are acceptable and carry with 3 

it the same full force and effect as an original signature. 


HLoyal may elect not to exercise rights specified in this Agreement. By doing so, HLoyal does not waive their right to exercise those rights at a future date.
